us!Alation is growing! We are looking for a Principal, Stock
Administrator that can take the equity function at Alation to the
next level. This is a highly visible role, with great exposure to
all levels of the company, and is perfect for an experienced
professional who is interested in building out a best-in-class
organization at a fast-paced company. The successful candidate will
be primarily responsible for supporting the day-to-day
administration of our equity plans, including the daily processing
of (pre-IPO) equity transactions and working closely across all
levels of the organization to support equity administration and
education. The candidate will also have responsibility for ensuring
that equity plans support Alation's international expansion plans
and for proactively monitoring and ensuring compliance with
domestic and international regulatory environments. Over time, the
candidate will also be responsible for evolving Alation's equity
compensation structure by advising on and implementing an RSU based
structure.The position requires a team player who can work with
internal and external stakeholders to drive alignment, process
automation and improvements in an effort to grow and mature the
equity function through Alation's continued expansion journey.What
You'll Be Doing
- Manage and administer the day-to-day tasks of stock
administration in Shareworks
- Ensure that all equity transactions are accurately processed
and settled in a timely manner
- Maintain and update the Company's equity plans and documents in
conjunction with outside counsel
- Define strategy and oversee implementation for eventual
transition from option based equity structure to RSU based
structure
- Oversee and execute potential tender offers, including advising
on structuring considerations
- Own and manage Rule 701 prospectus and information updates
- Track, understand, and ensure compliance with local
withholding, reporting, and regulatory requirements for
international locations in Europe and Asia-Pacific regions
- Track and report activity related to the stock plan accounts
such as early exercise activity, 83(b) elections, tender offers and
stock option exercise payments
- Partner with Accounting and Payroll teams to ensure accurate
tax withholdings and reporting for equity transactions
- Partner with People Ops, Total Rewards, and outside counsel to
manage the Board equity approval process
- Contribute to team initiatives and projects to continuously
evolve and optimize our equity program
- Communicate plan provisions to employees and resolve employee
questions as appropriate while providing exceptional customer
service levels
- Support employee education and awareness of equity awards and
company programs and policies; provide live presentations for new
and existing employees to fully understand equity offeringWho You
Are
- Extensive skills and experience maintaining data integrity, and
intermediate to advanced excel skills
- Highly detail oriented with strong ownership for areas of
responsibility
- Ability to exercise discretion and maintain strict
confidentiality
- A collaborative team player, able to partner with internal and
external contacts at all levels
- Driven to own process improvements and automation across
organizations
- Strong customer service focus and flexibility
- Exceptional written communication and presentation skills
- Strong analytical and organizational skillsYou Should Have
- A minimum of 15 years of experience in equity administration
for pre- and post-IPO companies with global employee equity
requirements
- Bachelor's degree or equivalent experience
- Certified Equity Professional (CEP) preferred
- Advanced analytical ability, attention to detail, strong
organizational skills, and ability to multi-task in a fast-paced
environment
- Advanced skills in G-Sheets, Excel and in HR systems (UltiPro
experience preferred)
- Analytical thinker, extreme organizer and detail-oriented
- Strong communicator with an ability to maintain confidentiality
and exercise discretion with sensitive compensation data
- Ability to adapt and thrive in a fast-paced, innovative
environmentBase Salary Target: $143,620-$193,887The base salary
range is specific to the United States. The salary of the final
candidate selected for this role will be set based on a variety of
factors, including but not limited to internal equity, experience,
education, work location, specialty and training. If the final
candidate has a different level of experience, the base salary
target range may be lower or higher than what is
